Welcome to Remembrance ("Platform," "Service," "we," "us," or "our"). These Terms of Service (together with our Privacy Policy and any other documents referenced herein) constitute a legally binding agreement ("Agreement") between you ("User," "you," or "your") and the individual operator of Remembrance.
Operator Status: Remembrance is operated by an individual sole proprietor, not a corporate entity. All rights, obligations, and liabilities under this Agreement rest with the individual operator.
By accessing or using Remembrance, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use the Service.
This Agreement becomes effective when you:
- First access the Platform
- Create an account
- Submit any information to us
- Continue using the Service after updates to these terms
By taking any of these actions, you are expressly consenting to be bound by this Agreement.
Remembrance is a cloud-based voice journaling application that enables you to:
- Record and store personal journal entries via voice
- Transcribe voice recordings into text
- Search your entries semantically (by meaning)
- Receive AI-generated summaries of your journals
- Organize and manage your personal thoughts and memories
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee:
- Uninterrupted, 100% uptime availability
- Error-free operation
- Specific performance metrics
- That the Service will meet your expectations
- That features will remain unchanged
We may modify, suspend, or discontinue the Service (or any feature) at any time, with or without notice.
Free Tier: Limited features with usage restrictions (entry limits, basic search)
Premium Tiers: Paid subscriptions unlock additional features (unlimited entries, advanced features, priority support)
You represent and warrant that you are:
- At least 13 years old (United States)
- At least 16 years old (European Union/EEA)
- Of legal age to form a binding contract in your jurisdiction
If you are under these age thresholds, you may NOT use Remembrance.
To use Remembrance, you must create an account by providing:
- Username (3-50 characters, alphanumeric)
- Password (securely hashed, you alone are responsible for maintaining confidentiality)
- Email address (optional, for account recovery)
You represent that all information provided is accurate and complete.
You are solely responsible for:
- Maintaining the confidentiality of your password
- Protecting your account from unauthorized access
- Not sharing your credentials with others
- All activities that occur under your account
- Notifying us immediately of unauthorized access or breach
We are not responsible for any losses resulting from compromised accounts. Never share your password with anyone, including us.
We may terminate your account if:
- You violate these Terms of Service
- You are under the minimum age requirement
- You engage in illegal activities
- You abuse the Service
- For any reason, with or without cause, with or without notice
Upon termination, your access to the Service is immediately revoked.
You agree that you will NOT:
Legal Violations:
- Use the Service for illegal purposes or activities
- Violate any laws, regulations, or rights of others
- Help others violate laws or rights
- Commit fraud, hacking, or unauthorized access
Abuse and Harm:
- Harass, threaten, or harm anyone
- Attempt to damage or overload the Service
- Reverse engineer, hack, or attempt to gain unauthorized access
- Use automated tools (bots, scrapers) without permission
- Perform distributed denial-of-service (DDoS) attacks
Misuse:
- Spam or send unsolicited communications
- Phish for information or impersonate others
- Create multiple accounts to circumvent restrictions
- Sell, transfer, or resell access to the Service
- Use the Service on behalf of others without authorization
Content Violations:
- Upload malware, viruses, or harmful code
- Upload content that violates others' intellectual property rights
- Use offensive, abusive, or hateful language
- Upload illegal content (child exploitation, violence, etc.)
- Attempt to bypass security measures
You agree to:
- Use the Service in compliance with all applicable laws
- Use the Service responsibly and ethically
- Respect the rights of others
- Report security vulnerabilities to us immediately
- Accept responsibility for your actions
- Keep your account secure
- Maintain accurate information
We reserve the right (but are not obligated) to:
- Monitor compliance with these Terms
- Suspend or terminate accounts for violations
- Pursue legal action for serious violations
- Preserve evidence for law enforcement
You own your journal entries. All content you create (voice recordings, transcriptions, written entries, etc.) remains your exclusive property.
By uploading content to Remembrance, you grant us a non-exclusive, worldwide, royalty-free license to:
- Store your content
- Process your content (transcription, embeddings, summaries)
- Display your content to you
- Create backups of your content
- Delete your content when requested or account terminated
This license is limited to providing the Service. We do not use your content for marketing, training AI models, or other commercial purposes.
We retain all rights to:
- The Remembrance platform and software
- All features and functionality
- The design, layout, and user interface
- Trademarks, logos, and brand elements
- Documentation and help materials
You may not:
- Copy, modify, or create derivative works
- Decompile, reverse engineer, or disassemble the software
- Remove or alter copyright notices
- Sell or redistribute our intellectual property
The Service may include third-party content (OpenAI models, libraries, fonts). These are licensed under their respective terms.
Free Tier (2-Week Trial):
- No payment required
- 2-week trial period
- Journal entry through voice transcription
- Audio upload and text entry
- Keyword search for all journal entries
- Journal entry search with respect to dates
- Community support only
Pro Tier ($17/month billed yearly or $20/month billed monthly):
- Everything in Free
- Semantic search for all journal entries
- Weekly, monthly, and yearly AI summaries
- Higher limits - 120 credits per month
- Email support (48-hour response)
- Export functionality
- Advanced features
Ultra Tier ($85/month billed yearly or $100/month billed monthly):
- Everything in Pro
- Content creation ideas through your journal
- Highest limits - 600 credits per month
- Direct developer access
- Priority feature requests
- Dedicated support
- Priority email support (24-hour response)
- Early access to new features
Annual Billing Discount:
- Save 15% with annual subscription
- Pro: $204/year (save $36 vs monthly)
- Ultra: $1,020/year (save $180 vs monthly)
Pricing Changes:
- We may change prices with 30 days advance notice
- Existing subscribers: Old price locked for current billing cycle
- New price applies at next renewal
- You can cancel before renewal to avoid new price

Payment Security:
- We do NOT store full credit card numbers
- We do NOT store CVV/CVC codes
- We do NOT store UPI PINs or banking credentials
- All payment data handled by PCI-DSS Level 1 certified processors
- All transactions encrypted with TLS 1.2+
Payment Information We Store:
- Customer ID (encrypted token from processor)
- Last 4 digits of card (for display only)
- Card brand (Visa, Mastercard, etc.)
- Card expiry date
- Billing address
- Payment method type (card, UPI, wallet, etc.)
Billing Cycle:
- Monthly subscriptions: Billed on the same date each month
- Annual subscriptions: Billed once per year on subscription date
- Automatic renewal unless cancelled before renewal date
Authorization:
By subscribing, you explicitly authorize us to:
- Charge your payment method on the billing date
- Automatically renew your subscription
- Charge applicable taxes (GST, VAT, sales tax)
- Charge for plan upgrades (prorated)
- Update subscription prices with 30 days notice
- Retry failed payments up to 3 times
What You'll Be Charged:
- Subscription fee (based on selected plan)
- Applicable taxes (GST 18% for India, VAT for EU, sales tax for US)
- Currency conversion fees (if applicable, charged by your bank)
- No hidden fees or surprise charges
Billing Date:
- First charge: Immediately upon subscription
- Subsequent charges: Same date each month/year
- If date doesn't exist (e.g., Feb 31), charged on last day of month
Invoices:
- Automatic invoice sent to your email
- Available in Account Settings → Billing History
- GST-compliant invoices for Indian customers
- VAT invoices for EU customers
- Downloadable as PDF
Payment Failure Process:
Day 1 (Billing Date):
- Initial charge attempt
- If fails: Email notification sent
- Account remains active
Day 3:
- First retry attempt
- Email reminder sent
- Account remains active
Day 5:
- Second retry attempt
- Warning email sent
- Account remains active
Day 7:
- Final retry attempt
- Final warning email sent
- Account remains active
Day 8:
- Subscription suspended
- Access to premium features revoked
- Data retained for 30 days
- Email with update payment method link
Day 30:
- Subscription cancelled
- Account downgraded to Free tier
- Premium data may be deleted
Your Responsibilities:
- Keep payment method up to date
- Ensure sufficient funds
- Update expired cards
- Respond to payment failure emails

Updating Payment Method:
- Go to Account Settings → Billing
- Click "Update Payment Method"
- Enter new card/payment details
- Save changes
- We'll retry charging immediately
Tax Collection:
We are required by law to collect applicable taxes:
India (GST - Goods and Services Tax):
- Rate: 18% on all subscriptions
- Applied to all Indian customers
- HSN/SAC Code: 998314 (Online information and database access)

- Invoices are GST-compliant
European Union (VAT - Value Added Tax):
- Rate: 15-27% (varies by country)
- Applied based on your billing address
- Reverse charge for businesses with valid VAT ID
- Provide VAT ID to avoid charge (if eligible)
United States (Sales Tax):
- Rate: 0-10% (varies by state)
- Applied based on billing address
- Some states exempt digital services
Other Countries:
- Local taxes applied as required
- Displayed at checkout before payment
Tax Exemption:
If you are tax-exempt:
1. Email tax exemption certificate to hello@remembrancejournal.com
2. Include your account email and certificate
3. We'll review within 5 business days
4. If approved, future charges will be tax-exempt
5. Past charges cannot be refunded for tax exemption
How to Dispute a Charge:
Step 1: Contact Us First (Required)

- Response time: Within 48 hours
Step 2: Investigation
- We investigate within 5 business days
- We may request additional information

Step 3: Resolution
- If error confirmed: Refund issued within 5-10 business days
- If no error found: Explanation provided with evidence
- If still disputed: You may escalate to payment processor
Dispute Deadline:
- Disputes must be filed within 60 days of charge
- After 60 days, charges are considered final
- Exception: Fraudulent charges (no time limit)
Chargeback Warning:
- Do NOT file chargeback before contacting us
- Chargebacks result in immediate account termination
- Chargeback fees ($15 USD or ₹500 INR) may be charged to you
- Most disputes resolved faster through direct contact
Auto-Renewal Disclosure:
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
How Auto-Renewal Works:
1. Subscription renews automatically on billing date
2. Payment method charged automatically
3. Email confirmation sent
4. Access continues uninterrupted
5. New billing period begins
Renewal Reminders:
- 7 days before renewal: Reminder email sent
- 1 day before renewal: Final reminder email sent
- Renewal date: Charge processed and confirmation sent
Cancelling Auto-Renewal:
1. Go to Account Settings → Subscription
2. Click "Cancel Subscription"
3. Confirm cancellation
4. Access continues until end of current period
5. No charge at next renewal date
Important:
- You must cancel at least 24 hours before renewal date
- Cancellations after renewal date do not qualify for refunds
- You can resubscribe anytime after cancellation
General Policy:
Subscriptions are generally non-refundable due to the instant digital nature of the service. However, we offer refunds in specific circumstances outlined below.
Why Limited Refunds?
- Service is delivered instantly upon payment
- You gain immediate access to premium features
- Digital services cannot be "returned"
- We are a small, individual-operated service
You ARE eligible for a refund if:
1. Billing Errors:
- Duplicate charges
- Incorrect amount charged
- Charged after cancellation
- Charged for wrong plan
- Deadline: Within 60 days of charge
- Refund: Full refund within 5-10 business days
2. Service Unavailability:
- Service completely unavailable for 72+ consecutive hours
- Critical features non-functional for 7+ days
- Unable to access account due to our technical issues
- Deadline: Within 30 days of issue
- Refund: Prorated refund for downtime period
3. Unauthorized Charges:
- Account hacked and subscription purchased without your consent
- Fraudulent transaction
- Deadline: Within 90 days of charge
- Refund: Full refund after investigation
4. EU 14-Day Cooling-Off Period (EU Customers Only):
- Right to cancel within 14 days of purchase (EU Consumer Rights Directive)
- Applies to first-time subscriptions only
- Deadline: Within 14 days of purchase
- Refund: Full refund minus usage (prorated)
- Note: By using the service, you waive the right to full refund (prorated refund applies)
5. Accidental Purchase:
- Purchased wrong plan by mistake
- Immediately contacted us (within 24 hours)
- Have not used premium features
- Deadline: Within 24 hours of purchase
- Refund: Full refund or plan change
You are NOT eligible for a refund if:
- You simply changed your mind
- You didn't use the service (non-usage is not grounds for refund)
- You found a cheaper alternative
- You're dissatisfied with features (try free tier first)
- You cancelled mid-billing cycle (access continues until period ends)
- You violated Terms of Service
- Your account was terminated for abuse
- More than 60 days have passed since charge (except fraud)
When Applicable:
- Service unavailability for extended periods
- EU customers exercising 14-day right (after using service)
- Billing errors affecting partial periods
Calculation:
Prorated Refund = (Total Paid / Days in Billing Period) × Unused Days
Example:
- Monthly subscription: $20 (Pro monthly)
- Used for 10 days
- Unused: 20 days
- Refund: ($20 / 30) × 20 = $13.33

- Refunded to original payment method
- Stripe refunds: 5-10 business days
- Razorpay refunds: 5-7 business days
- Bank processing may take additional 5-7 days
- Email confirmation sent
How to Cancel:
1. Log in to your account
2. Go to Account Settings → Subscription
3. Click "Cancel Subscription"
4. Select reason (optional feedback)
5. Confirm cancellation
6. Receive email confirmation
Cancellation Effective Date:
- Cancellation takes effect at the end of current billing period
- You retain access until period ends
- No refund for remaining days (you keep access)
- No charge at next renewal date
Example:
- You subscribe on January 1
- You cancel on January 15
- Your access continues until January 31
- You are not charged on February 1
- No refund for January 15-31 (you keep access)
After Cancellation:
- Account downgraded to Free tier
- Premium features disabled
- Journal entries retained (not deleted)
- You can resubscribe anytime
- Previous subscription history retained
Cancellation Deadline:
- Cancel at least 24 hours before renewal date
- Cancellations after renewal are not refunded
- Set calendar reminder for renewal date
Upgrading:
- Immediate access to new tier features
- Prorated charge for remaining billing period
- New billing cycle starts immediately
- Example: Upgrade from Pro Monthly ($20) to Ultra Monthly ($100) on day 15 of 30-day cycle
- Unused Pro credit: ($20 / 30) × 15 = $10.00
- Ultra prorated cost: ($100 / 30) × 15 = $50.00
- Charge today: $50.00 - $10.00 = $40.00
- Next full charge: $100 on new billing date
Downgrading:
- Takes effect at end of current billing period
- No immediate charge
- Continue using current tier until period ends
- New tier and price at next renewal
- No refund for downgrade
Pausing Subscription:
- Not currently supported
- You must cancel and resubscribe later
- Data retained for 30 days after cancellation
- Feature request: Email us if you need this feature
If we offer free trials:
- Trial period: 7 or 14 days (as specified)
- Full access to premium features
- No charge during trial
- Credit card required (for verification)
- Automatic conversion to paid subscription after trial
- Cancel anytime during trial for no charge
- Cancellation must be 24 hours before trial ends
Trial Limitations:
- One trial per user (per email address)
- Cannot create multiple accounts for multiple trials
- Trial abuse results in account termination
Currently: We do not offer a general money-back guarantee beyond the refund policy above.
Future: We may introduce a 7-day or 30-day money-back guarantee. If introduced, terms will be clearly stated and this policy will be updated.
Chargeback Policy:
Filing a chargeback (disputing charge with your bank) without contacting us first will result in:
1. Immediate account termination
2. Permanent ban from service
3. Chargeback fee charged to you ($15 USD or ₹500 INR)
4. Negative mark on your payment history
5. Possible legal action for fraudulent chargebacks
Why This Policy?
- Chargebacks cost us fees
- Chargebacks damage our payment processor standing
- Most issues can be resolved through direct contact
- Chargebacks are often used fraudulently
Legitimate Chargebacks:
If you have a legitimate dispute:
1. Contact us first: hello@remembrancejournal.com
2. Give us 5 business days to respond
3. If unresolved, then file chargeback
4. We will not penalize legitimate disputes
Fraudulent Chargebacks:
If you file a chargeback for a service you received and used:
- This is fraud
- We will provide evidence to payment processor
- We will contest the chargeback
- We may pursue legal action
- Your account will be permanently banned
We do NOT guarantee:
- Continuous, uninterrupted service
- 99% uptime or any specific availability metric
- Error-free operation
- Specific response times or performance levels
- Compatibility with all devices or browsers
We may:
- Perform maintenance and updates with or without notice
- Temporarily suspend service for maintenance
- Update features, functionality, or design
- Change APIs, access methods, or integration protocols
We will make reasonable efforts to notify users of planned maintenance, but do not guarantee notice.
We may:
- Modify the Service features and functionality
- Add, remove, or change features
- Modify pricing (with advance notice for existing users)
- Discontinue the Service (with notice)
Your remedy: If material changes are unacceptable, you may cancel your account.
If we discontinue the Service:
- We will provide advance notice (at least 30 days)
- You will have time to download your data
- We will delete your data within 30 days of closure
- We will not be liable for damages from discontinuation
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, with all faults.
We make NO warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or completeness
- Uninterrupted access
- Error-free operation
The Service uses artificial intelligence (OpenAI) for transcription, embeddings, and summaries.
You acknowledge:
- AI transcription may contain errors
- AI summaries may be incomplete or inaccurate
- Semantic search may miss relevant entries
- AI outputs are NOT professional advice
- You should always verify important information
- You use AI features at your own risk
AI outputs are not:
- Guaranteed to be accurate
- Substitutes for professional advice (medical, legal, financial)
- Endorsed by professionals
- Suitable for critical decision-making
The Service depends on third-party providers (OpenAI, MongoDB, Stripe, hosting providers).
We are not responsible for:
- Service outages from third-party providers
- Data loss due to third-party failures
- Security breaches at third parties
- Changes to third-party services
You are responsible for backing up your data. While we maintain backups, we do not guarantee data preservation.
We are not liable for:
- Loss or corruption of your entries
- Accidental deletion of content
- Data loss due to service failures
- Inability to recover deleted data
- Service interruptions affecting data access
Remembrance is a journaling tool, not a substitute for professional services:
- Not therapy: Not a substitute for mental health treatment
- Not medical advice: Not a substitute for healthcare providers
- Not legal advice: Not a substitute for attorneys
- Not financial advice: Not a substitute for financial advisors
If you need professional services, consult qualified professionals.
Our total liability is limited to the subscription fees you paid in the past 12 months.
If you used the free tier, our liability is limited to $0 (zero dollars).
This limitation applies regardless of the cause (contract, tort, negligence, strict liability, etc.).
We are not liable for ANY of the following, even if we knew they might occur:
This limitation does not apply to:
- Death or bodily injury caused by our negligence
- Fraud or gross negligence
- Violations of law
- Liability that cannot be legally limited in your jurisdiction
Because:
- We are an individual operator, not a large corporation
- We cannot insure against unlimited liability
- Our service is offered at minimal cost
- You have other remedies (cancellation, data export)
- This is standard for free and low-cost services
You agree to defend, indemnify, and hold harmless us (the operator) from:
- Any claims arising from your use of the Service
- Your violation of these Terms
- Your infringement of others' rights
- Your content or activity
- Your account being hacked due to your negligence
- Your misuse of the Service
This means you will cover our legal costs and any damages if someone sues us because of something you did.
Exceptions: This does not apply to:
- Our breach of these Terms
- Our negligence or wrongdoing
- Our violations of law
- Our infringement of your rights
You may terminate your account anytime:
1. Go to Account Settings → Privacy & Security
2. Click "Delete Account"
3. Confirm the deletion (irreversible)
Upon termination:
- All your data is permanently deleted within 30 days
- You lose access to the Service
- You are still responsible for charges until the termination date
We may terminate your account or Service access if:
- You violate these Terms of Service
- You are under the minimum age
- You engage in illegal activities
- You abuse or harm the Service
- You fail to pay subscription fees
- For any reason or no reason, with or without notice
Suspension: Temporary restriction of access (usually for violations or unpaid fees)
Termination: Permanent closure of your account and deletion of data
We may suspend your account before termination to give you opportunity to comply.
Upon termination:
- Your access to the Service immediately ends
- All your journal entries are deleted within 30 days
- Your account cannot be recovered
- You are still responsible for charges accrued
- Sections that survive termination (Intellectual Property, Limitation of Liability, Dispute Resolution) remain in effect
Before pursuing any legal action, let's talk:
Most disputes can be resolved through communication.
If informal resolution fails, disputes will be resolved through binding arbitration, NOT in court.
This means:
- You give up your right to sue in court
- You give up your right to a jury trial
- You give up your right to class action
- Disputes are decided by an arbitrator
Arbitration Process:
- Single arbitrator selected by agreement
- Arbitration conducted in [Your City, Your Country]

- Each party bears own costs (unless law requires otherwise)
- Arbitrator's decision is final and binding
The following disputes will be handled in court, not arbitration:

You agree that disputes will be arbitrated on an individual basis, not as a class action.
You cannot:
- Participate in class action lawsuits
- Participate in collective actions
- Pursue representative actions
Each dispute is heard individually and separately.

Jurisdiction and Venue:

If any provision of these Terms is found invalid or unenforceable:
- That provision is severed
- Remaining provisions remain in full force

Our failure to enforce any right does not waive that right. If we waive a violation once, we can still enforce the same provision later.
These Terms of Service, together with our Privacy Policy and any other referenced documents, constitute the entire agreement between us.
This Agreement supersedes:
- All previous agreements
- Prior discussions or negotiations
- Oral or written communications
- Course of dealing or usage of trade
These Terms are between you and us. No third parties have any rights or claims under these Terms.

What this means: If the Service is unavailable due to events beyond our control, we're not liable.

Legal Status:
Remembrance is operated as a sole proprietorship by an individual operator, not a corporate entity.
What This Means:
- Individual personal liability (limited by these Terms)
- No separate legal entity
- Direct relationship between you and the operator
- Personal tax obligations on operator
- Simpler business structure
The individual operator is responsible for:
- Service delivery and maintenance
- Customer support
- Data protection and privacy
- Payment processing
- Legal compliance
- Tax obligations
While operated as a sole proprietorship, liability is limited by Section 10 of these Terms. The operator's personal assets are protected to the extent permitted by law.
