Welcome to Remembrance ("Platform," "Service," "we," "us," or "our"). These Terms of Service (together with our Privacy Policy and any other documents referenced herein) constitute a legally binding agreement ("Agreement") between you ("User," "you," or "your") and the individual operator of Remembrance.
By accessing or using Remembrance, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use the Service.
This Agreement becomes effective when you:
- First access the Platform
- Create an account
- Submit any information to us
- Continue using the Service after updates to these terms
By taking any of these actions, you are expressly consenting to be bound by this Agreement.
Remembrance is a cloud-based voice journaling application that enables you to:
- Record and store personal journal entries via voice
- Transcribe voice recordings into text
- Search your entries semantically (by meaning)
- Receive AI-generated summaries of your journals
- Organize and manage your personal thoughts and memories
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee:
- Uninterrupted, 100% uptime availability
- Error-free operation
- Specific performance metrics
- That the Service will meet your expectations
- That features will remain unchanged
We may modify, suspend, or discontinue the Service (or any feature) at any time, with or without notice.
Free Tier: Limited features with usage restrictions (entry limits, basic search)
Premium Tiers: Paid subscriptions unlock additional features (unlimited entries, advanced features, priority support)
You represent and warrant that you are:
- At least 13 years old (United States)
- At least 16 years old (European Union/EEA)
- Of legal age to form a binding contract in your jurisdiction
If you are under these age thresholds, you may NOT use Remembrance.
To use Remembrance, you must create an account by providing:
- Username (3-50 characters, alphanumeric)
- Password (securely hashed, you alone are responsible for maintaining confidentiality)
- Email address (optional, for account recovery)
You represent that all information provided is accurate and complete.
You are solely responsible for:
- Maintaining the confidentiality of your password
- Protecting your account from unauthorized access
- Not sharing your credentials with others
- All activities that occur under your account
- Notifying us immediately of unauthorized access or breach
We are not responsible for any losses resulting from compromised accounts. Never share your password with anyone, including us.
We may terminate your account if:
- You violate these Terms of Service
- You are under the minimum age requirement
- You engage in illegal activities
- You abuse the Service
- For any reason, with or without cause, with or without notice
Upon termination, your access to the Service is immediately revoked.
You agree that you will NOT:
Legal Violations:
- Use the Service for illegal purposes or activities
- Violate any laws, regulations, or rights of others
- Help others violate laws or rights
- Commit fraud, hacking, or unauthorized access
Abuse and Harm:
- Harass, threaten, or harm anyone
- Attempt to damage or overload the Service
- Reverse engineer, hack, or attempt to gain unauthorized access
- Use automated tools (bots, scrapers) without permission
- Perform distributed denial-of-service (DDoS) attacks
Misuse:
- Spam or send unsolicited communications
- Phish for information or impersonate others
- Create multiple accounts to circumvent restrictions
- Sell, transfer, or resell access to the Service
- Use the Service on behalf of others without authorization
Content Violations:
- Upload malware, viruses, or harmful code
- Upload content that violates others' intellectual property rights
- Use offensive, abusive, or hateful language
- Upload illegal content (child exploitation, violence, etc.)
- Attempt to bypass security measures
You agree to:
- Use the Service in compliance with all applicable laws
- Use the Service responsibly and ethically
- Respect the rights of others
- Report security vulnerabilities to us immediately
- Accept responsibility for your actions
- Keep your account secure
- Maintain accurate information
We reserve the right (but are not obligated) to:
- Monitor compliance with these Terms
- Suspend or terminate accounts for violations
- Pursue legal action for serious violations
- Preserve evidence for law enforcement
You own your journal entries. All content you create (voice recordings, transcriptions, written entries, etc.) remains your exclusive property.
By uploading content to Remembrance, you grant us a non-exclusive, worldwide, royalty-free license to:
- Store your content
- Process your content (transcription, embeddings, summaries)
- Display your content to you
- Create backups of your content
- Delete your content when requested or account terminated
This license is limited to providing the Service. We do not use your content for marketing, training AI models, or other commercial purposes.
We retain all rights to:
- The Remembrance platform and software
- All features and functionality
- The design, layout, and user interface
- Trademarks, logos, and brand elements
- Documentation and help materials
You may not:
- Copy, modify, or create derivative works
- Decompile, reverse engineer, or disassemble the software
- Remove or alter copyright notices
- Sell or redistribute our intellectual property
The Service may include third-party content (OpenAI models, libraries, fonts). These are licensed under their respective terms.
Free Tier:
- No payment required
- Limited features and entry limits
- Basic search functionality
- Manual summaries only
Premium Tiers:
- Monthly or annual subscription
- Payment required upfront
- Unlimited features (depending on tier)
- Priority support (where applicable)
Payment Provider: Stripe (https://stripe.com)
Payment Information:
- We do NOT store full credit card numbers or CVV codes
- Stripe handles all payment processing securely
- Your payment information is subject to Stripe's Privacy Policy and Terms
Billing:
- Monthly billing: Charged on the same date each month
- Annual billing: Charged annually
- Automatic renewal unless cancelled
You authorize us to charge:
- Your subscription fee on the date you select
- Any overage charges (if applicable)
- Taxes and fees (where applicable)
Billing Disputes:
- Notify us within 30 days of the charge
- Include your account email and order number
- Provide details of the disputed charge
If payment fails:
- We will attempt to charge again
- Your account access may be suspended after repeated failures
- You remain responsible for all charges
- Late payment fees may apply (if applicable)
No Refunds Policy:
Subscriptions are non-refundable. Once purchased, you cannot receive refunds, credits, or exchanges.
Why? We provide immediate access to features upon purchase. The service is delivered instantaneously.
Refunds may be considered for:
- Billing errors or duplicate charges (within 30 days)
- Service completely unavailable (persistent, unresolved failures)
- Non-delivery of paid services due to our fault
To Request a Refund:

- Clear explanation of the issue
- Supporting documentation
We will review and respond within 10 business days.
You can cancel your subscription anytime:
1. Go to Account Settings → Billing & Subscription
2. Click "Cancel Subscription"
3. Confirm cancellation
Cancellation is effective: At the end of your current billing period
You will: Continue to have access until the billing period ends
We do NOT guarantee:
- Continuous, uninterrupted service
- 99% uptime or any specific availability metric
- Error-free operation
- Specific response times or performance levels
- Compatibility with all devices or browsers
We may:
- Perform maintenance and updates with or without notice
- Temporarily suspend service for maintenance
- Update features, functionality, or design
- Change APIs, access methods, or integration protocols
We will make reasonable efforts to notify users of planned maintenance, but do not guarantee notice.
We may:
- Modify the Service features and functionality
- Add, remove, or change features
- Modify pricing (with advance notice for existing users)
- Discontinue the Service (with notice)
Your remedy: If material changes are unacceptable, you may cancel your account.
If we discontinue the Service:
- We will provide advance notice (at least 30 days)
- You will have time to download your data
- We will delete your data within 30 days of closure
- We will not be liable for damages from discontinuation
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, with all faults.
We make NO warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or completeness
- Uninterrupted access
- Error-free operation
The Service uses artificial intelligence (OpenAI) for transcription, embeddings, and summaries.
You acknowledge:
- AI transcription may contain errors
- AI summaries may be incomplete or inaccurate
- Semantic search may miss relevant entries
- AI outputs are NOT professional advice
- You should always verify important information
- You use AI features at your own risk
AI outputs are not:
- Guaranteed to be accurate
- Substitutes for professional advice (medical, legal, financial)
- Endorsed by professionals
- Suitable for critical decision-making
The Service depends on third-party providers (OpenAI, MongoDB, Stripe, hosting providers).
We are not responsible for:
- Service outages from third-party providers
- Data loss due to third-party failures
- Security breaches at third parties
- Changes to third-party services
You are responsible for backing up your data. While we maintain backups, we do not guarantee data preservation.
We are not liable for:
- Loss or corruption of your entries
- Accidental deletion of content
- Data loss due to service failures
- Inability to recover deleted data
- Service interruptions affecting data access
Remembrance is a journaling tool, not a substitute for professional services:
- Not therapy: Not a substitute for mental health treatment
- Not medical advice: Not a substitute for healthcare providers
- Not legal advice: Not a substitute for attorneys
- Not financial advice: Not a substitute for financial advisors
If you need professional services, consult qualified professionals.
Our total liability is limited to the subscription fees you paid in the past 12 months.
If you used the free tier, our liability is limited to $0 (zero dollars).
This limitation applies regardless of the cause (contract, tort, negligence, strict liability, etc.).
We are not liable for ANY of the following, even if we knew they might occur:
This limitation does not apply to:
- Death or bodily injury caused by our negligence
- Fraud or gross negligence
- Violations of law
- Liability that cannot be legally limited in your jurisdiction
Because:
- We are an individual operator, not a large corporation
- We cannot insure against unlimited liability
- Our service is offered at minimal cost
- You have other remedies (cancellation, data export)
- This is standard for free and low-cost services
You agree to defend, indemnify, and hold harmless us (the operator) from:
- Any claims arising from your use of the Service
- Your violation of these Terms
- Your infringement of others' rights
- Your content or activity
- Your account being hacked due to your negligence
- Your misuse of the Service
This means you will cover our legal costs and any damages if someone sues us because of something you did.
Exceptions: This does not apply to:
- Our breach of these Terms
- Our negligence or wrongdoing
- Our violations of law
- Our infringement of your rights
You may terminate your account anytime:
1. Go to Account Settings → Privacy & Security
2. Click "Delete Account"
3. Confirm the deletion (irreversible)
Upon termination:
- All your data is permanently deleted within 30 days
- You lose access to the Service
- You are still responsible for charges until the termination date
We may terminate your account or Service access if:
- You violate these Terms of Service
- You are under the minimum age
- You engage in illegal activities
- You abuse or harm the Service
- You fail to pay subscription fees
- For any reason or no reason, with or without notice
Suspension: Temporary restriction of access (usually for violations or unpaid fees)
Termination: Permanent closure of your account and deletion of data
We may suspend your account before termination to give you opportunity to comply.
Upon termination:
- Your access to the Service immediately ends
- All your journal entries are deleted within 30 days
- Your account cannot be recovered
- You are still responsible for charges accrued
- Sections that survive termination (Intellectual Property, Limitation of Liability, Dispute Resolution) remain in effect
Before pursuing any legal action, let's talk:
Most disputes can be resolved through communication.
If informal resolution fails, disputes will be resolved through binding arbitration, NOT in court.
This means:
- You give up your right to sue in court
- You give up your right to a jury trial
- You give up your right to class action
- Disputes are decided by an arbitrator
Arbitration Process:
- Single arbitrator selected by agreement
- Arbitration conducted in [Your City, Your Country]

- Each party bears own costs (unless law requires otherwise)
- Arbitrator's decision is final and binding
The following disputes will be handled in court, not arbitration:
- IP infringement claims (by us against you)

- Small claims court disputes (if available and appropriate)
You agree that disputes will be arbitrated on an individual basis, not as a class action.
You cannot:
- Participate in class action lawsuits
- Participate in collective actions
- Pursue representative actions
Each dispute is heard individually and separately.
This Agreement is governed by the laws of [Your Country/State], without regard to its conflict of law principles.
Jurisdiction and Venue:
- All disputes will be resolved in [Your City/Country]
- Any court proceedings will take place there
- You consent to jurisdiction of those courts
We may change these Terms of Service at any time by:

4. Displaying in-app notification

- In-app notification when you next log in
- Option to cancel your account if you don't accept
If we make material changes:
- Accept: Continue using the Service (implies acceptance)
- Reject: Cancel your account before changes take effect
- No using during disagreement: You cannot use the Service while declining terms

1. Provide your name and contact information
2. Identify the copyrighted work
3. Identify the infringing material
4. Include your statement under penalty of perjury

If any provision of these Terms is found invalid or unenforceable:
- That provision is severed
- Remaining provisions remain in full force
- The severed provision is reformed to the minimum extent necessary to make it valid
Our failure to enforce any right does not waive that right. If we waive a violation once, we can still enforce the same provision later.
These Terms of Service, together with our Privacy Policy and any other referenced documents, constitute the entire agreement between us.
This Agreement supersedes:
- All previous agreements
- Prior discussions or negotiations
- Oral or written communications
- Course of dealing or usage of trade
These Terms are between you and us. No third parties have any rights or claims under these Terms.
You may not assign these Terms without our written consent. We may assign these Terms to another party. If assigned, we will notify you.
Neither party is liable for delays or failures in performance due to events beyond reasonable control, including:
- Natural disasters
- War, terrorism, or civil unrest
- Pandemics or epidemics
- Government actions
- Strikes or labor disputes
- Cyber attacks on critical infrastructure
- Severe weather
- Internet infrastructure failures
What this means: If the Service is unavailable due to events beyond our control, we're not liable.
The Service may be subject to export control laws. You agree not to:
- Export to countries with trade restrictions
- Provide to embargoed persons or entities
- Export to prohibited end-users
If government agencies request your data:
- We will notify you (unless legally prohibited)
- We will challenge overly broad requests
- We will provide only what is legally required
- You have rights to legal remedies
We may modify the Service to comply with laws, regulations, or government requirements, with appropriate notice.

- Provided by licensed professionals
- A substitute for professional advice
- Guaranteed to be perfect or error-free
You are responsible for:
- Evaluating whether the Service meets your needs
- Making your own decisions
- Seeking professional help when needed
- Protecting your own data and security
